These Terms of Service ("Terms") govern your access to and use of the website yifandigital.com (the "Site") operated by Yifan Digital LLC ("Yifan Digital", "we", "us"). By using the Site, you agree to these Terms.
1. About our products & services
Yifan Digital LLC develops and sells proprietary SaaS products, websites, mobile applications, and other software solutions. These products are offered to individuals and businesses through online subscriptions or one-time purchases. We operate remotely and serve customers primarily in the United States and other international markets.
2. The Site is informational
Content on the Site is provided for general information only and does not constitute professional, legal, financial, or technical advice, nor an offer to enter into a contract. Descriptions of capabilities and timelines are illustrative; specifics for any project are set out in a separate written agreement.
3. Purchases & engagements
Purchases of our products — subscriptions, one-time licenses, websites, or mobile applications — and any custom software engagements are governed by the applicable license, subscription, or services terms presented at the time of purchase or executed between the parties, which control over these Terms in the event of a conflict. Nothing on the Site obligates either party until such terms are accepted or an agreement is signed.
4. Acceptable use
You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, scraping it in a manner that imposes an unreasonable load, or using it to transmit unlawful, infringing, or harmful content.
5. Intellectual property
- The Site and its content (text, design, graphics, logos) are owned by Yifan Digital LLC or its licensors and are protected by intellectual-property laws. You may not reproduce or reuse them without permission.
- Rights in deliverables produced for clients — including code and documentation — are allocated in the applicable services agreement. Unless that agreement states otherwise, clients receive full ownership of project deliverables upon payment.
- If you send us feedback or ideas, you grant us a non-exclusive, royalty-free license to use them to improve our products and services.
6. Third-party services & links
The Site may reference or link to third-party websites and services (such as hosting providers or tools we use). We do not control and are not responsible for third-party content or practices.
7. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
8. Limitation of liability
To the maximum extent permitted by law, Yifan Digital LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of the Site. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100). Liability for paid services is limited as set out in the applicable services agreement.
9. Indemnification
You agree to indemnify and hold harmless Yifan Digital LLC and its members, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or breach of these Terms.
10. Governing law & disputes
These Terms are governed by the laws of the United States and of the state in which Yifan Digital LLC is organized, without regard to conflict-of-law rules. The parties will attempt in good faith to resolve any dispute informally for 30 days before commencing formal proceedings, which will take place in the state or federal courts located in that state, unless the applicable services agreement specifies otherwise.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above shows the current version. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
